Terms of Service — Fudo Live

These Terms of Service (the "Terms") form a binding legal agreement between you ("you", "your" or "User") and FUDOTECH INFORMATION TECHNOLOGY - FZCO, a Free Zone Company duly licensed and registered in the Emirate of Dubai under the Dubai Integrated Economic Zones Authority (DIEZA / IFZA), holding License No. 67647, with registered office at IFZA Business Park, DDP, PO Box 342001, Dubai, United Arab Emirates ("Fudotech", "Company", "we", "our" or "us"), in respect of your access to and use of the Fudo Live mobile application, the website at https://fudolive.com, related APIs, and any related products and services we offer (collectively, the "Services").

These Terms were originally drafted in English. Where any translation of these Terms is provided, the English version shall prevail to the extent of any inconsistency.

Quick Tips & Zero-Tolerance Policy

Agreement before use. By tapping "I Agree" on the welcome screen, by registering for an account, or by signing in to Fudo Live, you accept these Terms in full. You may not use the Services unless you do.

Zero tolerance. Fudo Live has a strict, zero-tolerance policy for objectionable content and abusive users, including sexual content, harassment, hate speech, threats of violence, fraud, illegal activity, and any content that exploits or endangers minors. Violators face immediate content removal, permanent account ban, and where appropriate device-fingerprint and IP block.

Filter your experience. Fudo Live automatically filters Content using a combination of (i) automated keyword, image, and audio moderation, (ii) 24/7 human moderation of LIVE and Voice streams, (iii) age-rating thresholds, and (iv) your own blacklist and report history.

Report from the app. Tap the report icon (⚐) on any post, profile, voice room, comment, or direct message to flag objectionable Content for review. Reports are anonymous and confidential.

Block any user from the app. From the user's profile (More menu → Block) or from Settings → Privacy → Blacklist, you can block any other user. Their Content disappears from your feed instantly, they can no longer contact you, and our Trust & Safety team is notified automatically.

24-hour action commitment. Our Trust & Safety team reviews and acts on every report of objectionable Content within 24 hours — by removing the offending Content, ejecting the user who provided it, and where appropriate banning their device and IP.

Respect or be banned. Pornography, violence, gambling, hate speech, terrorism-related material, and any minors-related misconduct lead to permanent bans with no prior warning.

Summary

Please read these Terms in full because they apply every time you use Fudo Live, and they govern the relationship between users who interact through Fudo Live, as well as the Fudo Live brands, products, and services. By creating an account, downloading, accessing, or using any of the Services, you agree to these Terms. The key points are:

You will not use the Services if you are under 18 (or under the age of legal majority in your jurisdiction, whichever is higher).

You are solely responsible for the content you post, broadcast, or share. We do not pre-screen all content but may review and remove content that we, in our sole discretion, find inappropriate.

You will not use Fudo Live for any unlawful, fraudulent, malicious, deceptive, or discriminatory purpose.

Diamonds (Virtual Coins) are a license, not currency. They are non-refundable and non-transferable except as expressly permitted within the Services.

FUD balances reflecting earnings or transferable value are subject to additional verification, anti-fraud, and tax-compliance checks before withdrawal.

If you do not accept and agree to these Terms, you must not access or use the Services.

1. Privacy

Your privacy matters to us. The Fudo Live Privacy Policy explains how we collect, use, store, and disclose your information, your rights, and how to make informed choices about what you share. By using the Services you also agree to our Privacy Policy. We encourage you to read it carefully.

2. Eligibility and Age Requirement

The Services are intended for users aged 18 years or older. If the age of legal majority in your jurisdiction is higher than 18, you must meet that age.

By creating an account, you represent and warrant that you are at least 18 (or the age of majority in your jurisdiction), have the legal capacity to enter into a binding contract, and are not barred from using the Services under the laws of the United Arab Emirates or your country of residence.

We reserve the right to request age verification at any time and to suspend or terminate any account where age verification cannot be reasonably established.

We do not knowingly collect information from minors. If we discover that an account belongs to a minor, we will permanently delete the account and any associated data.

3. Account Registration and Security

You may sign up to Fudo Live using one of the supported methods: phone number, email/password, Apple ID, Google account, or Facebook account. The exact methods available may vary by region.

You agree to: provide accurate and current registration information (such as nickname, age, gender, avatar, country, and required verification); keep your credentials confidential and not share your account with anyone; take responsibility for all activity that occurs through your account; and notify us immediately at info@fudotech.net if you suspect unauthorised access.

One person, one account. You will not create multiple accounts to circumvent restrictions, evade bans, abuse promotions, or earn unfair revenue. Multi-accounting may result in immediate termination and forfeiture of any balances.

No transfer. You will not assign, transfer, sell, lease, or sublicense your account or any earnings to any other person without our prior written consent.

Restricted regions. Due to applicable sanctions, regulatory, or security reasons (including but not limited to those imposed by the United Nations, the United States Office of Foreign Assets Control, the European Union, and the United Arab Emirates), Fudo Live may not be available — or specific features (online services, payments, withdrawals) may not be supported — in certain countries or territories, including Iran, North Korea, Sudan, Syria, Cuba, Myanmar, Yemen, Iraq, Somalia, the Crimea region, or any other jurisdictions designated by Fudotech in its sole discretion. We reserve the right to update this list.

4. Community Guidelines and Content Standards

You may post photographs, voice/video broadcasts, messages, comments, gift transactions, room titles, profile bios, and other content (collectively, "Content") on Fudo Live. You retain ownership of the Content you post, subject to the license you grant to us in Section 6. While our community is intended to be fun, friendly, and safe, the following Content and conduct are strictly prohibited.

4.1 Protection of minors (zero tolerance)

Any image, audio, video, or text that involves, depicts, or refers to minors in any inappropriate manner.

Inappropriate interactions targeted at children (e.g., grooming, soliciting, sexual remarks, sextortion, or threatening or blackmailing a child by using actual or alleged access to a child's intimate images).

Trafficking, advertising, solicitation, or sexual exploitation of children in any form.

Sexualisation, sexualised portrayal, or content that normalises harm to minors.

Content that, while not directly involving a minor, has the potential to lead to abuse, sexual abuse, seduction, or harm to minors.

4.2 Sexual content, harassment, and dignity

Sexual harassment, sexual innuendo, indecent exposure, or content that offends human dignity.

Nudity, partial nudity, or sexually suggestive Content (including chat content).

Provision of paid companionship, escort services, "hook-up" dating, fling/swinger/affair/infidelity dating, or sexual fetish dating.

Mail-order spouse, deceptive dating, or exploitative dating advertising.

4.3 Violence, self-harm, and dangerous activity

Content involving violence, self-harm, suicide promotion, or encouragement of dangerous activities likely to cause personal injury, death, or property damage.

Content related to gambling, abortion solicitation, weapons sales, explosives, drugs, or controlled substances.

Promotion or glorification of terrorism, organised crime, or violent extremism.

4.4 Hate speech, discrimination, and unlawful conduct

Defamatory, libellous, slanderous, abusive, insulting, or threatening Content.

Promotion or encouragement of racism, sexism, religious hatred, ethnic discrimination, or bigotry.

Inciting illegal activity, criminal offences, or hatred against any individual or group.

Discussion of politically sensitive matters or religious incitement that may breach UAE law.

4.5 Spam, fraud, and security threats

Unsolicited commercial activity, sales, advertising, links to external websites or premium phone numbers, "junk" or "spam" messages.

Use of automation, bots, scripts, or scrapers.

Distribution of malware, spyware, viruses, worms, Trojan horses, or any malicious code.

Phishing, account theft, identity theft, or financial fraud (including chargebacks initiated in bad faith).

4.6 Third-party rights and personal data

Content that infringes any intellectual property right (including copyright, trademark, patent, trade secret), privacy right, publicity right, or contract right of any third party.

Posting another person's image, voice, or identifiable information without their consent.

Posting identification documents, financial credentials, or sensitive personal data of yourself or others.

Tagging non-users or sending unsolicited invitations.

You are solely responsible for, and bear all liability in respect of, the Content you post on or send through Fudo Live. We may use your feedback or suggestions without owing you compensation.

5. Monitoring and Enforcement

24/7 monitoring. All Voice and LIVE streaming sessions on Fudo Live (including those of broadcasters, hosts, and ordinary users) are subject to monitoring on a 24-hour, 7-day basis using a combination of automated systems and human moderators. By using the Services you consent to such monitoring.

Three-tier enforcement. When we detect a violation of these Terms or our community guidelines, we may apply one of the following actions, at our sole discretion, depending on the severity, frequency, and risk of the violation.

Tier A — Warning / Stop Broadcast

Real-time stop of LIVE broadcast and a written warning. Triggering conduct includes: a user appearing to be under 18; advertising or selling products; mild rule-breaking.

Tier B — 24-hour ID Ban

Account locked for 24 hours; broadcast revenue may be paused. Triggering conduct includes: abuse of platform, host, or agency; sexual implications or seducing behaviour; men shirtless (except sports/swim contexts); women in revealing exposure; sexual voice content; light pornography or explicit chat.

Tier C — Permanent Ban (ID + Device + IP)

Account, device fingerprint, and IP address permanently blocked; balances forfeited. Triggering conduct includes: any Content involving minors; political or religious incitement; copyright infringement; sexual services; extreme bloody violence; drug use; repeated B-tier offences.

5.1 Content filtering, reporting, and 24-hour action

Filtering. Fudo Live filters objectionable Content through (i) automated keyword, image, and audio moderation applied at upload and during LIVE streaming; (ii) 24/7 human moderation of voice and video rooms; (iii) reputation and risk scoring of accounts; (iv) restricted-region and age-rating filters; and (v) each user's personal blacklist (see Section 5.2). Content that fails any of these filters is automatically held, removed, or escalated to the Trust & Safety team.

Reporting from the app. Any user may report a violation directly from inside the app by tapping the report icon (⚐) on the offending post, profile, comment, voice room, or private message, or by emailing info@fudotech.net. Reports are anonymous and confidential. Submitting deliberately false or harassing reports is itself a violation of these Terms.

24-hour action commitment. Our Trust & Safety team reviews and acts on every report of objectionable Content within 24 hours. The action will typically include: (i) removing the offending Content from all Fudo Live surfaces; (ii) ejecting the user who provided it via a Tier B or Tier C enforcement (see above) — which may include account suspension, permanent ban, and where appropriate device-fingerprint and IP block; and (iii) preserving evidence for cooperation with authorities. Severe violations (e.g. any Content involving minors, terrorism, or extreme violence) trigger immediate removal and permanent ban without prior warning.

Cooperation with authorities. We will fully cooperate with any law-enforcement authority, court order, or competent regulatory body (including UAE authorities) requesting that we disclose user identity, transaction logs, IP addresses, or any other data in connection with illegal conduct.

5.2 In-app blocking of abusive users

In addition to reporting, every Fudo Live user has the right and the ability to block any other user directly from inside the app, at any time. You may initiate a block from:

The other user's profile page (More menu → Block).

The private chat with the other user (More menu → Block).

The voice-room participant list (long-press the user → Block).

Settings → Privacy → Blacklist, where you can review, add, or remove blocks at any time.

When you block a user, the following happens instantly and automatically:

All of the blocked user's Content — Discover posts, comments, private messages, gifts, voice-room appearances, and search results — is removed from your feed immediately.

The blocked user can no longer see your profile, send you messages, view your Content, follow you, or join voice rooms in which you are present. Existing follow, friendship, and CP (couple) relationships between the two of you are automatically severed.

Fudotech is notified of the block event automatically. A high or rising number of blocks against the same account is treated as a strong signal of abuse and may trigger a global Tier B or Tier C enforcement action by our Trust & Safety team independently of any report you file.

Blocks are persistent across all your devices on your Fudotech account until you remove them from Settings → Privacy → Blacklist.

Blocking is independent from, and additional to, your right to report Content under Section 5.1. We encourage every user to use both the report and the block mechanisms together whenever they encounter Content or behaviour that breaches these Terms.

6. Intellectual Property and Content Licenses

Your Content. You retain ownership of the Content you post, broadcast, or upload to Fudo Live. By posting Content on or through the Services, you grant Fudotech and its affiliates a worldwide, non-exclusive, fully paid, royalty-free, sub-licensable, transferable license to host, store, cache, display, reproduce, modify (e.g., for transcoding or formatting), publicly perform, publicly display, distribute, translate, and create derivative works of such Content, in any media now known or later developed, for the purpose of operating, providing, marketing, and improving the Services. Content marked private will not be distributed outside the necessary delivery scope of the Services.

Your representations. You represent and warrant that (i) you own the Content or have all necessary rights and permissions to grant the license above; (ii) the Content does not violate any privacy, publicity, intellectual property, or contract rights of any third party; and (iii) you will pay any royalties, fees, or sums owed to any third party as a result of your Content.

Fudotech Content. All Fudo Live software, design elements, logos, brand marks, animations, voice cues, gift artwork, trademarks, copyrighted code, layout, and other proprietary materials ("Fudotech Content") are the exclusive property of Fudotech or its licensors and are protected by UAE and international copyright, trademark, patent, and trade-secret laws. We grant you a limited, revocable, non-transferable, non-sublicensable license to display Fudotech Content solely for personal, non-commercial use in connection with the Services. You will not use our trademarks or any confusingly similar marks without our prior written permission.

Restrictions. Except as expressly permitted in these Terms, you will not copy, modify, translate, decompile, reverse-engineer, reproduce, broadcast, distribute, publicly perform, or sell any Content (whether ours or another user's) appearing on or through the Services.

IP-infringement complaints. If you believe your copyrighted work has been used on Fudo Live without authorisation, please submit a complaint to info@fudotech.net with: (i) identification of the work, (ii) location of the infringing material, (iii) your contact details, and (iv) a statement under penalty of perjury that you are authorised to act. We will review and act in good faith.

Service availability. Although we operate the Services around the clock, the Services may be interrupted for scheduled maintenance, upgrades, emergency repairs, or due to events beyond our control. Although we generally only delete Content that violates these Terms, we reserve the right to delete any Content for any reason without prior notice. Fudo Live is not a backup service. You are encouraged to maintain your own backups of any Content you wish to preserve. We will not be liable for any modification, suspension, or discontinuation of the Services or for the loss of any Content.

7. Diamonds (Virtual Coins), Gifts, and In-App Purchases

License, not currency. Through the Services you may obtain a one-time, personal, revocable license to use Diamonds (also referred to as "Virtual Coins"). Diamonds are a virtual entitlement; they are not legal tender, not real money, and have no monetary value outside the Services. Diamonds may be used to redeem virtual gifts, decorations, badges, VIP privileges, room features, or other items offered within Fudo Live.

Pricing & purchase. The price, exchange ratio, and discounts of Diamonds are displayed on the in-app recharge page and may vary by country, payment provider, exchange rate, applicable taxes, and promotional terms. Purchases of Diamonds are processed by third-party payment providers, including but not limited to Apple In-App Purchase, Google Play Billing, Stripe, and other authorised providers. The terms of those providers govern the actual transaction.

No transfer or trading. Diamonds may not be traded, sold, or transferred between users. You may not exchange, sell, list, or convert Diamonds outside of official Fudo Live channels. We prohibit anyone from participating in unofficial Diamond trading. If discovered, we reserve the right to ban the offending account at any time, forfeit balances, and pursue any legal remedies available.

No combination. Unless we expressly state otherwise, Diamonds cannot be combined with other promotions, coupons, discounts, or special offers.

Refunds. Diamonds are a consumable virtual entitlement: they are delivered instantly upon successful payment, are deemed consumed at the moment of delivery, and are typically spent within seconds. Unless required by applicable law, all recharge actions are final and non-refundable. Refund requests for Apple In-App Purchase or Google Play purchases must be submitted to Apple or Google respectively, in accordance with their published refund policies. Fudotech does not directly process refunds for third-party-billed transactions.

Negative balance and recovery. If Diamonds from a refunded, voided, or charged-back Order were already spent, we may set your Diamond balance to a negative value equal to the refunded amount, suspend your ability to spend, gift, or purchase, and require the negative balance to be cleared before normal use resumes. Where earnings were derived by other users from those Diamonds, we may recover the corresponding amounts, and we may share purchase and consumption records with the relevant Payment Provider to assess the legitimacy of any refund or chargeback.

Right to adjust. We reserve the right to adjust the price of Diamonds, modify the exchange ratio, change the gift catalogue, or discontinue any Diamonds-related feature at any time, with reasonable notice where required by law.

8. FUD Currency, Earnings, Transfers, and Withdrawals

What is FUD. "FUD" is a unit of account used within Fudo Live to record certain earnings (such as gift earnings received by hosts or referral bonuses), agency settlements, and transferable balances. Any displayed equivalence (e.g., 1 FUD ≈ 1 USD) is for reference only and is not a guarantee of redemption value or exchange rate at any given time.

Earning FUD. Hosts, broadcasters, and other eligible users may earn FUD in accordance with our published revenue-share rules and host program. We may adjust, suspend, or recover FUD where we detect fraud, multi-accounting, gift wash-trading, agency manipulation, refund chargebacks, or other forms of abuse.

Transfers. Where the Services support FUD transfers between users (including agency-managed transfers), all such transfers must comply with anti-money-laundering ("AML"), counter-terrorist-financing ("CTF"), and applicable sanctions laws of the UAE and your jurisdiction. We may delay, freeze, or cancel any transfer that we, in good faith, believe is suspicious, fraudulent, or in breach of these Terms.

Withdrawals. Withdrawal requests are subject to: KYC (Know Your Customer) and identity verification; minimum and maximum thresholds disclosed in the app; cooling-off and review windows (typically up to 7 business days) for fraud prevention; deduction of applicable fees, taxes, exchange-rate costs, and third-party processor charges; and compliance with anti-money-laundering rules. We may decline a withdrawal request in case of incomplete verification, sanctioned jurisdiction, suspected violation, an open investigation, or pending chargeback or dispute.

Tax responsibility. You alone are responsible for any income tax, value-added tax, or other taxes payable on your earnings under the laws of your country of residence or citizenship. Fudotech may withhold or report amounts where required by UAE law or applicable foreign tax law.

No banking relationship. Holding FUD does not create a deposit, custody, or banking relationship between you and Fudotech. FUD balances are not insured by any government deposit-insurance scheme.

9. Recharge Agencies and Host Programs

Agency role. Fudotech may, in its sole discretion, designate certain users or organisations as Recharge Agencies, Host Agencies, or other commercial partners. Agencies may be authorised to sell Diamonds, manage hosts, transfer FUD between users, or recruit broadcasters within published rules.

Independent contractors. Agencies are independent contractors. Nothing in these Terms or any agency arrangement creates an employment, joint venture, partnership, or franchise relationship between Fudotech and an Agency.

Anti-abuse. Fudotech reserves the right to audit any Agency, suspend or terminate Agency rights, and reverse any improper transactions where we detect fraud, money-laundering, gift wash-trading, falsified hosting hours, or other Agency abuse.

Disputes between users and agencies. Any dispute between a user and an Agency regarding off-platform arrangements is between the user and the Agency. Fudotech is not a party to such off-platform arrangements and bears no responsibility for them, save as required by law.

10. Suspension and Termination

If you violate these Terms, our Privacy Policy, our Community Guidelines, or otherwise create risk or possible legal exposure for Fudotech, we may, at our sole discretion, at any time, and without prior notice or liability: suspend, restrict, or revoke your account; block your access to specific features (e.g., LIVE, withdrawal, gifting); block specific IP addresses, device fingerprints, or payment instruments; withhold, freeze, claw back, or forfeit any Diamonds, FUD balances, or earnings related to violating activity; or pursue any legal remedy available under UAE law or your jurisdiction.

We will use reasonable efforts (but are not obliged) to notify you if your access has been suspended or terminated.

Voluntary termination. You may terminate your account at any time by going to Settings → Account & Security → Delete Account. After deletion: your profile information will be retained for 30 days, during which you may restore your account by signing in; after 30 days, your account and associated personal data will be permanently deleted, except where retention is required by law or for the resolution of pending disputes; some Content (e.g., comments you posted in others' rooms, gifts received by other users) may persist on the Services; and any unused Diamonds and unwithdrawn FUD balances will be forfeited unless otherwise required by law.

11. Disclaimer of Warranties

To the fullest extent permitted by applicable law, the Services are provided on an "AS IS" and "AS AVAILABLE" basis, with all faults and without warranties of any kind. Fudotech expressly disclaims:

all conditions, representations, warranties, and other terms which might otherwise be implied by statute, common law, equity, or trade usage, including any implied warranty of merchantability, fitness for a particular purpose, non-infringement, or quiet enjoyment;

any guarantee that the Services will be uninterrupted, error-free, secure, virus-free, or that any defects will be corrected;

any responsibility for the conduct, content, or representations of any user, host, agency, or third party, or for any loss or damage you incur as a result of dealing with another user or any third party.

12. Limitation of Liability

To the fullest extent permitted by applicable law, in no event will Fudotech, its parent, affiliates, officers, directors, employees, agents, or licensors be liable for any indirect, incidental, special, exemplary, punitive, or consequential damages of any kind, including but not limited to damages for loss of profits, loss of revenue, loss of data, loss of goodwill, loss of business opportunity, wasted management time, business interruption, or any other intangible loss arising out of or in connection with your use of the Services.

This limitation applies whether based on contract, tort (including negligence), strict liability, breach of statutory duty, indemnity, or any other legal theory, and whether or not Fudotech has been advised of the possibility of such damages.

To the maximum extent permitted by law, the total aggregate liability of Fudotech to you for any and all claims arising out of or relating to these Terms or the Services will not exceed the greater of (i) the total amount you paid to Fudotech in the twelve (12) months preceding the event giving rise to the claim, or (ii) one hundred United States dollars (USD 100).

Nothing in these Terms excludes or limits any liability that cannot be excluded or limited under UAE law, including liability for fraud, gross negligence, or wilful misconduct.

You acknowledge that you may be exposed to user-generated Content that is offensive, inaccurate, defamatory, indecent, or otherwise objectionable; you bear all risk of using or relying on any such Content.

13. Indemnity

You agree to defend, indemnify, and hold harmless Fudotech, its parent corporation, affiliates, officers, directors, shareholders, employees, agents, suppliers, and licensors, from and against any and all claims, damages, obligations, losses, liabilities, costs, debts, fines, penalties, and expenses (including reasonable attorneys' fees and court costs) arising out of or in any way connected with:

your access to or use of the Services;

your violation of any provision of these Terms, our Privacy Policy, or our Community Guidelines;

your violation of any applicable law, regulation, or third-party right (including any copyright, trademark, privacy, publicity, contract, or other intellectual or proprietary right);

any Content you post, broadcast, transmit, or otherwise make available through the Services;

any claim that your conduct caused damage to another user, third party, or to Fudotech.

This indemnity will survive termination of these Terms and your use of the Services. Fudotech does not condone or encourage illegal consumption of alcohol, tobacco, drugs, or any unlawful behaviour.

14. Apple App Store, Google Play, and Third-Party Platform Provisions

If you obtained the Fudo Live application from the Apple App Store, you acknowledge that these Terms are between you and Fudotech only, and not with Apple Inc. ("Apple"). Apple is not responsible for the application or its content. Apple has no obligation to provide maintenance or support; any product warranty disclaimable by us under applicable law is also disclaimed by Apple. In the event of any failure of the application to conform to any applicable warranty (where required by law), you may notify Apple, who will refund the purchase price of the application (if any), but Apple will have no further warranty obligation. Any other claims, losses, liabilities, damages, costs, or expenses attributable to any failure to conform to a warranty will be the sole responsibility of Fudotech. Apple is a third-party beneficiary of these Terms and may enforce them against you.

If you obtained the Fudo Live application from Google Play, you acknowledge that these Terms are between you and Fudotech only, and not with Google LLC. ("Google"). Google has no obligation or liability with respect to the application or these Terms. The Google Play Terms of Service apply additionally to your acquisition of the application.

Login providers. When you sign in via Apple ID, Google, or Facebook, you agree to comply with the applicable terms of the relevant identity provider. Information shared via these providers is processed in accordance with our Privacy Policy.

15. Modifications to these Terms

We may amend, replace, or update these Terms at any time, in our reasonable discretion, by posting the revised Terms in the application or on https://fudolive.com and updating the "Last updated" date.

Where the change materially adversely affects your rights or obligations, we will give you reasonable advance notice (e.g., via in-app banner or email) and, where required by law, an opportunity to review and accept the revised Terms before continued use.

Your continued use of the Services after the effective date of any modification constitutes your acceptance of the revised Terms. If you do not agree to the revised Terms, you must stop using the Services.

16. Governing Law and Dispute Resolution

Governing law. These Terms, your relationship with Fudotech, and any non-contractual obligations arising out of or in connection with them, are governed by and construed in accordance with the laws of the Emirate of Dubai and the federal laws of the United Arab Emirates, without regard to conflict-of-law principles.

Mandatory amicable consultation. Before initiating formal proceedings, you and Fudotech will use commercially reasonable efforts to resolve any dispute amicably by sending a written notice to the other party, allowing 30 days for negotiation in good faith.

Arbitration in Dubai. Any dispute, controversy, claim, or difference arising out of, relating to, or in connection with these Terms — including any question regarding their existence, validity, breach, or termination — that has not been resolved by consultation, shall be referred to and finally resolved by arbitration administered by the Dubai International Arbitration Centre ("DIAC") in accordance with the DIAC Arbitration Rules in force at the time of the request for arbitration. The seat of arbitration shall be Dubai, United Arab Emirates. The arbitration shall be conducted by a sole arbitrator. The language of arbitration shall be English. The award shall be final and binding on the parties.

Court relief. Notwithstanding the above, Fudotech may seek injunctive or other equitable relief from any court of competent jurisdiction in Dubai or elsewhere to protect its intellectual property, confidential information, or platform integrity.

No class actions. To the maximum extent permitted by law, all disputes shall be resolved on an individual basis. You may not act as a class representative or participate in any class, consolidated, or representative action against Fudotech.

17. Miscellaneous

Entire agreement. These Terms (together with the Privacy Policy and any additional terms applicable to specific features) constitute the entire agreement between you and Fudotech.

Severability. If any provision of these Terms is held invalid or unenforceable, the remaining provisions remain in full force and effect, and the invalid provision shall be replaced by an enforceable provision that most closely reflects the original intent.

No waiver. Failure by Fudotech to enforce any right is not a waiver of that right.

Assignment. You may not assign or transfer these Terms without our prior written consent. We may assign or transfer them to any affiliate or successor.

Force majeure. Fudotech is not liable for any failure or delay caused by events beyond our reasonable control, including acts of God, war, terrorism, riots, epidemics, government actions, sanctions, or telecommunications failures.

Headings. Headings are for convenience only and do not affect interpretation.

Relationship. Nothing in these Terms creates an employment, agency, joint-venture, or partnership relationship between you and Fudotech.

The Fudo Live application and website are owned and operated by FUDOTECH INFORMATION TECHNOLOGY - FZCO, a Free Zone Company duly licensed in the Emirate of Dubai.
